Legal Advisory

Legal Advisory

Our corporate legal specialists engage on a spot basis for individual matters, providing advice on regulatory compliance and risk management. We adapt flexibly to both large projects and short-term engagements.

Coverage Areas (Examples)

Legal challenges arising from business activities span a wide range. We engage flexibly on a per-matter basis—from single-issue contract reviews to comprehensive legal analysis—focusing on the themes below.

General Corporate

We cover the core corporate-law areas of company operations — general meetings, investment and shareholders agreements, and fundraising structures. Beyond verifying procedural legality, we propose practical approaches that fit your management context and timeline.

Examples: General Meetings (notice, minutes, resolution risk) / Investment & shareholders agreement review / Fundraising structure design and legal review / Board operations & duty of care / M&A and corporate restructuring

IT & Technology

We handle contract matters specific to the IT business — development agreements, SaaS terms of service, and cloud/API integration contracts. Issues such as contract-type selection, acceptance, and warranty design are addressed with a working understanding of development practice.

Examples: System development contracts (contract type, acceptance, warranty) / IP ownership and licensing / Terms of service for SaaS and digital services / Cloud and API integration agreements

AI-Related

We address the emerging legal questions that come with using AI in business — from ownership of AI-generated content to personal-data compliance for training data. In an area where guidelines are still evolving, we clarify the current state of play and translate it into workable internal rules.

Examples: Copyright ownership of AI-generated content / Personal data compliance for training datasets / OSS license compliance / Internal AI usage policy development

Real Estate

We advise on real-estate matters ranging from utilization or disposal of idle property to rent-increase claims and contract review. Where tax or registration issues are involved, we address them together within the firm.

Examples: Legal review for idle property utilization and disposal / Response to land/rent increase claims / Real estate sale and lease agreement review

HR & Labor

We support HR and labor matters — from work rules and internal policies to dismissal issues and the proper structuring of freelance engagements. With an emphasis on dispute prevention, we help design rules that work in day-to-day operations.

Examples: Work rules and internal policy drafting and revision / Dismissal, resignation, and non-compete clauses / Freelance and outsourcing compliance (sham contracting)

Finance & Fintech

We advise on businesses touching financial regulation, including the Payment Services Act and the Financial Instruments and Exchange Act. For newer areas such as crypto assets and token issuance, we develop realistic structures informed by regulatory trends.

Examples: Payment Services Act (prepaid instruments, fund transfer) compliance / Financial Instruments and Exchange Act legal review / Legal analysis for crypto assets and token issuance

Fund Formation

We handle the legal work of forming venture capital and private equity funds. A limited partnership agreement governs the relationship between GP and LPs over many years, and the quality of its drafting surfaces during the operating phase. We design terms grounded in both the statutory framework and how funds actually run.

Examples: LPS formation and limited partnership agreement drafting / GP/LP terms (management fee, carried interest, key-person clauses) / Article 63 special business notification for qualified institutional investors / Silent partnership (TK) and voluntary partnership structures / CVC and corporate fund design

FAQ

Q. What types of clients do you most commonly work with?

We work with a wide range of clients, from IT and SaaS startups to listed companies. We especially see high demand from companies without dedicated in-house legal staff, as well as those requiring expert judgment on specialized topics such as AI, cloud services, and personal data protection.

Q. Do you offer retainer agreements?

Our standard model is per-matter spot engagement, but for companies needing ongoing support we also act as retainer counsel (monthly fixed fee). Alternatively, many clients simply engage us repeatedly on a spot basis as an ongoing "external legal department." In either case, fees are quoted upfront.

Q. How quickly can you review a contract?

It depends on the length and complexity, but for a standard contract we can typically respond within a few business days. Please contact us if you have an urgent request.

Q. Can you handle IT and AI-related contracts and legal issues?

Yes — this is one of our core practice areas. We provide practical advice grounded in technical knowledge on topics specific to the digital era, including system development contracts, copyright ownership of AI-generated content, personal data compliance, and OSS license management.

Q. Do I need to coordinate with separate specialists such as a tax accountant or judicial scrivener?

Our firm has attorneys, CPAs, tax accountants, and judicial scriveners in-house, allowing us to address issues beyond pure legal matters under one roof. You do not need to locate and coordinate separate specialists — we provide consistent, integrated advice.
