Q. What registrations are required when incorporating a company?

Incorporating a joint-stock company requires filing a registration application with the Legal Affairs Bureau that has jurisdiction over the head office. The process involves sequential steps — articles of association certification, capital contribution, and registration application — and typically takes one to two weeks to complete. We handle the full process, including articles drafting and legal review.

Q. Is there a deadline for registering a change of directors?

Yes. Any change in directors — appointment, resignation, or reappointment — must be registered within two weeks of the change date (Companies Act, Article 915). Missing the deadline carries the risk of a fine. Please contact us promptly after your general meeting of shareholders.

Q. What registrations are required in connection with a business transfer?

A business transfer itself is not a registrable event, but if the transfer is accompanied by a change in company name, purpose, or head office, a commercial registration is required. If real estate is involved, a real estate registration is also necessary. Q. How long does a merger or company split registration process take?

For an absorption merger, the change registration for the surviving company and the dissolution registration for the absorbed company must be filed within two weeks of the effective date. However, the preparation phase (public notice and creditor protection procedures) takes at least one month. New incorporation mergers and company splits are even more complex — early schedule planning is essential.

Q. What procedures are required to dissolve and liquidate a company?

Dissolving a joint-stock company requires: (1) a dissolution resolution (special resolution at a general meeting) and dissolution registration; (2) appointment and registration of a liquidator; (3) public notice in the Official Gazette (at least two months for creditor protection); (4) settlement of assets and repayment of debts; and (5) completion of liquidation registration. The full process typically takes three to six months. Because tax filings are also involved, we recommend consulting a tax accountant at an early stage.
